These Terms constitute a legally binding agreement between you (individual or entity) and ProofMind Technologies SL ("ProofMind", "we", "us").

ProofMind provides AI-powered detection and verification services for identifying synthetically generated or manipulated media content. Our Services include web-based tools, API access, and consulting services as described in your subscription plan.
3. Eligibility
You must be at least 18 years old and have the legal capacity to enter into binding contracts. By using our Services, you represent and warrant that you meet these requirements.
4. Account Registration
To access certain features, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain the security of your account credentials
- Promptly update any changes to your information
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
5. Acceptable Use Policy

Subscriptions automatically renew unless canceled at least 7 days before the renewal date. You can cancel anytime through your account dashboard. No refunds for partial months.
6.4 Price Changes
We may modify pricing with 60 days' notice. Changes apply to subsequent billing cycles. Continued use after notice constitutes acceptance.
7. Intellectual Property Rights
7.1 Our Property
ProofMind retains all rights, title, and interest in the Services, including algorithms, software, trademarks, and documentation. These Terms do not grant you any ownership rights.
7.2 License Grant
Subject to compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services solely for your internal business purposes.
7.3 Your Content
You retain ownership of content you upload. By uploading, you grant us a worldwide, royalty-free license to process, analyze, and use such content solely to provide Services and improve our algorithms (in anonymized form).
8. Data Processing and Privacy
Our collection and use of personal data is governed by our Privacy Policy. For enterprise clients processing personal data through our Services, the Data Processing Agreement (DPA) applies.
9. Service Accuracy and Limitations
While we strive for high accuracy, our Services:
- Are provided "as is" without guarantees of 100% accuracy
- Should be used as one tool in a comprehensive verification process
- May produce false positives or false negatives
- Are continuously updated to counter evolving AI generation techniques
You acknowledge that final editorial, legal, or operational decisions should not rely solely on our detection results.
10. Warranties and Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE"
- WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
- WE DO NOT WARRANT UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION

11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PROOFMIND SHALL NOT BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
- DAMAGES EXCEEDING THE AMOUNT YOU PAID IN THE 12 MONTHS PRIOR TO THE CLAIM
This limitation applies regardless of the legal theory and even if we were advised of the possibility of such damages. Some jurisdictions do not allow certain limitations, so some may not apply to you.

You agree to indemnify, defend, and hold harmless ProofMind, its affiliates, officers, and employees from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any rights of others, or (d) your uploaded content.
13. Termination
We may suspend or terminate your access to the Services immediately, without notice, for:
- Violation of these Terms
- Non-payment of fees
- Fraudulent or illegal activity
- At our discretion for any reason
Upon termination, your license to use the Services ends immediately. Sections that by their nature should survive (payment obligations, indemnification, limitations of liability) remain in effect.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or website notice at least 30 days before the effective date. Continued use after changes constitutes acceptance.
15. Governing Law and Disputes
Governing Law: These Terms are governed by the laws of Spain and the European Union, without regard to conflict of law principles.
Jurisdiction: Any disputes shall be resolved exclusively in the courts of Madrid, Spain.
Dispute Resolution: For enterprise clients, disputes may be subject to mandatory arbitration as specified in your enterprise agreement.
16. Miscellaneous
Entire Agreement: These Terms, together with our Privacy Policy and any applicable agreements, constitute the entire agreement between you and ProofMind.
Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
Waiver: Our failure to enforce any right or provision does not constitute a waiver.
Assignment: You may not assign these Terms without our consent. We may assign freely.
